Terms & Conditions of Sale

DEFINITIONS

Seller means Jerry’s Equine Dental Instruments, a division of Genesis Dental Technologies LLC.

Buyer means the customer of Jerry’s Equine Dental Instruments, a division of Genesis Dental Technologies, LLC.

Terms and Contract mean these Terms & Conditions of Sale, which form a legally binding agreement for the sale of products by the Seller to the Buyer.

Product means goods of any description forming the subject matter of this Contract, including parts, components, and ingredients of any materials incorporated into the product.

ACCEPTANCE

These Terms, together with information contained in Seller’s written product order, quotation, acknowledgment and/or invoice, constitute the entire agreement and understanding between Seller and Buyer for the purchase and sale of Seller’s Products.

PRICE

All quotations and order acknowledgments are based on current costs. Prices exclude freight, insurance, delivery charges, taxes, and duties unless otherwise agreed in writing. All prices are subject to change without notice.

QUOTATION

Quotations remain open for acceptance for thirty (30) days after the date of quotation unless otherwise stated.

PAYMENT

Invoices are payable in U.S. dollars within thirty (30) days following the invoice date unless otherwise agreed. International buyers are required to pay by wire transfer or credit card.

SHIPMENT, TITLE, DELIVERY AND RISK

Products are shipped FCA Seller’s facility (Incoterms 2020) unless otherwise agreed. Risk of loss transfers upon Seller’s placement of Products with the first carrier.

DAMAGE IN TRANSIT

Buyer must inspect products upon receipt and promptly report shipping damage or loss.

ERRORS AND SHORTAGES

Errors or shortages must be reported within three (3) business days after receipt.

PRODUCTS WITH EXPIRATION DATING

Seller will not ship products with less than 180 days shelf life remaining unless specifically requested and approved.

CANCELLATIONS / RETURNS

Return authorization is required prior to returning any product. Certain products are non-returnable. All approved returns are subject to a twenty-five percent (25%) restocking fee, which will be deducted from any refund or credit issued. Products must be returned in unused, resalable condition and in their original packaging unless otherwise approved in writing by Seller.

WARRANTY

Seller applies warranties on a per-product basis. Contact Seller for warranty details.

LIMITS ON LIABILITY

Seller shall not be liable for incidental, special, or consequential damages. Buyer’s exclusive remedy is limited to replacement, repair, or refund of the purchase price, at Seller’s discretion.

FORCE MAJEURE AND SHORTAGES

Seller shall not be liable for delays or failures caused by events beyond its reasonable control.

MISCELLANEOUS

Buyer shall comply with all applicable laws and regulations. Invalidity of one provision shall not affect the remaining provisions.

GOVERNING LAW AND JURISDICTION

This Contract is governed by the laws of the State of Wisconsin. Actions relating to this Contract shall be subject to the jurisdiction of courts located in Wisconsin.
